Please read these Terms of Service ("Terms") carefully before using the website located at synapticweave.com (the "Site") or engaging the services of Synaptic Weave, Inc. ("Synaptic Weave," "we," "us," or "our").

By accessing or using the Site, or by entering into a service agreement with Synaptic Weave, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Site or Services.

1. Use of the Site

You may use our Site for lawful purposes only and in a manner consistent with these Terms. You agree not to:

• Use the Site in any way that violates applicable local, national, or international law or regulation

2. Services

Synaptic Weave provides AI development, infrastructure consulting, and related technology services ("Services") to business clients. Specific terms governing any engagement — including scope, deliverables, fees, timelines, and intellectual property ownership — are set forth in a separate written agreement (Statement of Work or Master Services Agreement) executed between Synaptic Weave and the client. In the event of any conflict between these Terms and a signed service agreement, the service agreement shall control.

3. Intellectual Property

Our Content

The Site and its original content, features, and functionality — including but not limited to text, graphics, logos, icons, and software — are and will remain the exclusive property of Synaptic Weave, Inc. and its licensors. Nothing in these Terms grants you any right to use our trademarks, trade names, or branding without our prior written consent.

Client Work Product

Ownership of intellectual property developed in the course of a service engagement is governed by the applicable service agreement. Unless otherwise specified in a signed agreement, all custom work product developed specifically for a client and fully paid for shall be assigned to that client upon final payment.

4. Confidentiality

Any non-public business information, technical data, or proprietary materials shared with Synaptic Weave in connection with a service engagement will be treated as confidential and used solely for the purpose of delivering the requested Services. Synaptic Weave will not disclose such information to third parties without the client's consent, except as required by law or as necessary to perform the Services with approved subcontractors under equivalent confidentiality obligations.

5. Disclaimer of Warranties

THE SITE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. SYNAPTIC WEAVE DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SYNAPTIC WEAVE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL — ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SITE OR SERVICES, EVEN IF SYNAPTIC WEAVE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

SYNAPTIC WEAVE'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE USE OF THE SITE SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). LIABILITY ARISING FROM EXECUTED SERVICE AGREEMENTS IS GOVERNED BY THE LIMITATION OF LIABILITY PROVISIONS IN THOSE AGREEMENTS.

7. Indemnification

You agree to indemnify, defend, and hold harmless Synaptic Weave and its officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with your use of the Site, your violation of these Terms, or your violation of any applicable law or third-party rights.

8. Third-Party Links

The Site may contain links to third-party websites or services that are not owned or controlled by Synaptic Weave. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party sites. These Terms shall be governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict of law provisions. Any dispute arising under or relating to these Terms that cannot be resolved informally shall be subject to the exclusive jurisdiction of the state and federal courts located in King County, Washington, and you consent to personal jurisdiction in those courts.

If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

13. Entire Agreement

These Terms, together with our Privacy Policy and any executed service agreements, constitute the entire agreement between you and Synaptic Weave regarding your use of the Site and supersede all prior agreements and understandings.
